This agreement is made between Ampli Navi (the “Company”) and Influencer (the “Influencer”) for the provision of social media influencer marketing services.
The Company is a social media marketing company that connects social media influencers with businesses and uses affiliate marketing to boost advertisement.
The Influencer is a content creator who has a large and engaged audience on one or more social media platforms, such as [specify the platforms, such as Instagram, YouTube, TikTok, etc.].
The parties agree as follows:
The Influencer agrees to provide the following social media influencer marketing services to the Company:
Create and post original and authentic content on the social media platforms that promotes the products or services of the Company’s clients (the “Clients”)
Include the Company’s affiliate links or codes in the content to track the sales or leads generated by the Influencer’s audience
Disclose the sponsored nature of the content in accordance with the applicable laws and regulations, such as the Federal Trade Commission’s Endorsement Guides
Follow the Company’s guidelines and instructions regarding the content, such as the tone, style, format, frequency, duration, hashtags, etc.
Grant the Company and its Clients a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display the content for any purpose
Comply with the terms and conditions of the social media platforms and respect the intellectual property rights of others
The Influencer will use its best efforts and professional judgment to perform the services in accordance with the industry standards and best practices.
The Influencer agrees to pay the Company a fee of the stated amount per month for the services.
The Company will also pay the Affiliate a commission of 15% for each sale or lead generated by the Influencer’s audience through the affiliate links or codes.
The Company will track and report on the sales or leads generated by the Affiliates audience using its own tracking system or a third-party service provider.
The Company will invoice the Affiliate at the end of each month and the Influencer will provide a valid invoice within 3 days of receipt.
This agreement will commence on the specified date and will continue until 28 days after the specified date unless terminated earlier by either party.
Either party may terminate this agreement at any time by giving 1 days written notice to the other party.
The other party breaches any material term of this agreement and fails to remedy it within 1 day of receiving notice of the breach
The other party becomes insolvent, bankrupt, or subject to any similar proceeding
The other party engages in any illegal, fraudulent, or unethical conduct that damages the reputation or goodwill of the terminating party or its Clients
Cease creating and posting any new content for the Company or its Clients
Remove any existing content for the Company or its Clients from the social media platforms, unless otherwise agreed by the parties
Return or destroy any confidential information or materials provided by the Company or its Clients
Provide a final invoice for any outstanding fees or commissions due to the Influencer
The termination of this agreement will not affect any rights or obligations that accrued before the termination.
The Company may disclose to the Influencer certain confidential information or materials relating to its business, Clients, products, services, strategies, plans, or operations.
Keep the confidential information or materials secret and not disclose them to any third party without the Company’s prior written consent
Use the confidential information or materials only for the purpose of performing the services under this agreement
Protect the confidential information or materials from unauthorized use, access, or loss using reasonable security measures
Return or destroy all copies of the confidential information or materials upon request by the Company or upon termination of this agreement
The Influencer’s obligations under this clause will not apply to any information or materials that:
Are publicly available or become publicly available through no fault of the Influencer
Are lawfully obtained by the Influencer from a third party who is not bound by any confidentiality obligation
Are required to be disclosed by law, court order, or governmental authority
The Company is not liable for any loss, damage, injury, claim, or expense arising from or relating to:
The Influencer’s performance or non-performance of the services under this agreement
The content created and posted by the Influencer on the social media platforms
The use of the affiliate links or codes by the Influencer’s audience
The products or services offered by the Company’s Clients
The Influencer’s breach of any term of this agreement
The Influencer’s violation of any law, regulation, or third-party right
The Influencer’s negligence, fraud, misrepresentation, or misconduct
This agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous agreements, understandings, representations, or communications.
This agreement may not be modified or amended except by a written document signed by both parties.
This agreement may not be assigned or transferred by either party without the prior written consent of the other party.
This agreement will be governed by and construed in accordance with the laws of the Republic of Ireland.
Any dispute arising from or relating to this agreement will be submitted to legal proceedings.
The Company and its Clients retain all rights, title, and interest in and to their respective trademarks, logos, products, services, and any other intellectual property rights.
The Company and its Clients grant the Influencer a limited, revocable, non-exclusive, non-transferable license to use their trademarks, logos, products, services, and any other intellectual property rights solely for the purpose of performing the services under this agreement
The Influencer will not register, apply for, or claim any ownership or interest in any of the Company’s or its Clients’ trademarks, logos, products, services, or any other intellectual property rights
The Influencer will not use the Company’s or its Clients’ trademarks, logos, products, services, or any other intellectual property rights in a manner that is misleading, confusing, disparaging, defamatory, or infringing
The Influencer will comply with the Company’s and its Clients’ guidelines and instructions regarding the use of their trademarks, logos, products, services, and any other intellectual property rights
The Influencer retains all rights, title, and interest in and to the content created and posted by the Influencer on the social media platforms.
The Influencer grants the Company and its Clients a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display the content for any purpose.
The content is original and does not infringe any third-party rights
The content does not contain any illegal, fraudulent, or unethical material
The content complies with the terms and conditions of the social media platforms
The Influencer has obtained all necessary permissions and consents from any third parties involved in or featured in the content.
